I. Purpose

The purpose of this Advance Purchase Indication ("API") is solely to support preliminary planning, capacity forecasting, and commercial discussions between the Requestor and Terminus Industrials. This API is a non-binding expression of interest and does not create any obligation for either party to enter into a definitive agreement, purchase product, reserve manufacturing capacity, or commit to any financial transaction. It is not an offer, acceptance, purchase order, or contract. Terminus Industrials, Inc. will contact you directly regarding additional terms including indicative pricing and delivery.

This Advance Purchase Indication ("API") is submitted solely for the purpose of enabling Terminus Industrials to evaluate demand, prepare preliminary commercial terms, and issue a subsequent Non-Binding Purchase Order ("NBPO") for the Requestor's review. The API does not constitute an order, agreement, offer, acceptance, or commitment by either party. No party shall incur any liability, obligation, or financial responsibility of any kind as a result of submitting, reviewing, or relying upon this API. The Requestor shall not be obligated to purchase any product, and Terminus Industrials shall not be obligated to manufacture, reserve capacity, or provide any goods or services unless and until a separate definitive agreement is executed by both parties. Both parties expressly disclaim any damages, reliance claims, expectations of performance, or remedies arising from this API, and each retains the unrestricted right to modify or withdraw from the process at any time prior to signing a binding agreement.
